Terms and conditions of My Thrive Scan

 

Agreement Overview

  • My Thrive Scan is a product registered to Fronting the Challenge Projects Ltd, trading as Thrive, and is accessed from within the Thrive-Online platform.
  • By accessing or using My Thrive Scan, you agree to be bound by these Terms and our Privacy Policy.
  • If you are using the service on behalf of an organisation, you are confirming you have the authority to bind that organisation to these Terms.
  • We may update these Terms from time to time. Continued use of the service after changes are posted constitutes your acceptance of the revised Terms.
  • These Terms are effective from when you are issued access to the platform.
  • If you do not agree to these Terms, you must not access or use the platform.
  • Your electronic acceptance of these Terms has the same legal effect as a physical signature.

Definitions

  • “Agreement” Refers to the Terms and Conditions document itself.
  • “Service” or “Services” My Thrive Scan, including any associated features, tools, or platforms.
  • “User” or “Customer” The individual or entity using the service.
  • “Account” The registered profile created by the user to access the service.
  • “Subscription” The paid plan that grants access to the service for a defined initial 12-month period, then subsequent 12-month periods, unless paying by Direct Debit, which is on a rolling monthly basis after the initial term.
  • “Content” Any data, text, files, information, or materials uploaded, submitted, or generated by the user.
  • “Company” The legal entity providing My Thrive Scan.
  • “Authorised Users” Individuals permitted by the customer to use the service under their account.
  • “Confidential Information” Non-public information disclosed between parties, subject to confidentiality obligations.
  • “Intellectual Property” Patents, trademarks, copyrights, and other proprietary rights related to the service.
  • “Third-Party Services” External services or software integrated with or used in conjunction with My Thrive Scan.
  • “Effective Date” The date the agreement becomes active.
  • “Data” or “Customer Data” Information submitted or collected through the service that belongs to the user.
  • “Privacy Policy” The separate document outlining how user data is collected, used, and protected.
  • “Support Services” Any helpdesk, technical support, or customer service provided.

Eligibility

  • Only authorised users may access and use My Thrive Scan, via their own log in provided by Thrive.

Account Registration and Security

  • You will be issued with login details which will allow you to access My Thrive Scan.
  • You are responsible for ensuring that all usernames and passwords are kept confidential and that the list of all registered users is kept up to date.

Subscription, Fees, and Payment Terms

  • Your subscription is calculated on an annual basis, payable monthly by direct debit or annually in advance. Late or missed payments will incur a 2.5% surcharge. Thrive will provide an invoice for the monthly amount or total annual amount as agreed.
  • Thrive reserves the right to increase the subscription fee on no less than 28 days’ notice
  • The initial subscription period is for a minimum 12 months, after which time the subscription agreement will continue monthly for Direct Debit customers or year to year for all other customers, unless terminated in accordance with this agreement.
  • After the initial 12 months period, Subscription termination requires 90 days’ notice, in writing or by telephone.
  • There will be no refunds for cancellation before the end of the initial 12 months period.
  • Should you wish to upgrade and subscribe to Thrive-Online during your initial 12-month period, the total amount already paid for My Thrive Scan will be deducted from the initial 12 months Thrive-Online subscription. Should you wish to upgrade to Thrive-Online during a subsequent 12-month period, that amount paid for that period only will be deducted.
  • You have the right to cancel your subscription within 14 days without giving any reason. This cancellation period will expire 14 days after the day the subscription is started. To exercise this right, you must inform us in writing or by telephone. If you cancel, we will reimburse all payments received from you, within a timely manner.

License and Acceptable Use

  • The subscription is granted for use as a whole school tool.
  • You agree to not rent, lease, sub license or loan access to My Thrive Scan to any other organisation or person
  • You agree to not copy, adapt, vary or modify any part of the materials

Service Availability and Support

  • Thrive will use all reasonable endeavours to ensure that My Thrive Scan is available for use between the hours of 8am and 8pm Monday to Friday.
  • Thrive will provide reasonable notice of any major scheduled updates that will interrupt the availability of My Thrive Scan
  • There is no training included as part of the subscription, however documentation on how to use the product is available within the product.

Data Protection and Privacy

  • Our services are provided via our secure cloud-based platform.
  • The data processed by us shall consist of information relating to employees and children in your organisation.
  • We both acknowledge that you, as the subscriber, are the controller and Thrive is the processor (as defined by the data protection legislation).
  • We both agree to comply with the applicable requirements of the data protection legislation.
  • You agree that you have all the necessary consents and appropriate policies in place to enable the lawful transfer of personal data to Thrive for the duration and purposes of the subscription.
  • Thrive will have in place appropriate security measures against unlawful or unauthorised processing of personal data and against accidental loss or destruction of, or damage to, personal data.
  • Thrive will ensure that all staff who have access to personal data are obliged to keep it confidential.
  • Thrive will assist you to respond to any Subject Access Requests.
  • Thrive will assist you, if requested, with respect to security, breach notifications, impact assessments and any investigations by a supervisory authority.
  • Thrive will notify you immediately in the event of a data breach and assist with investigations.
  • Thrive shall assist you if you receive a request under the Education (Pupil Information) (England) Regulations 2005. Thrive will endeavour to produce data within 5 days of receipt of a written request.
  • You will ensure that you have all the necessary permissions in place to allow Thrive to produce anonymous data for training, marketing and statistical purposes.
  • Thrive will retain the personal data for a period of 12 years from the last record created unless otherwise requested by you or as required by law.

Intellectual Property

  • You acknowledge that the intellectual property rights for My Thrive Scan belong to Thrive, including any documentation and any trademarks.

Termination and Suspension

  • Thrive may terminate this subscription immediately by written notice to you if you breach this agreement or if you become insolvent, bankrupt or unable to pay your debts.
  • Upon termination all rights granted to you under this agreement shall cease.
  • After termination, if we receive a request for the transfer of any individual’s details from another organisation that has a Thrive-Online or My Thrive Scan license, then, unless you tell us otherwise, we shall permit such transfer on your behalf. Any other request will be referred to you.
